Instructor: William Ramseyer Course Description Have your bylaws been reviewed by an attorney within the last three years? If not, this seminar is for you. Since many nonprofit corporations were formed, the state legislature has revised laws governing bylaw requirements several times. Bylaws conflicting with the nonprofit code are superseded by state laws; bylaws that do not have certain provisions are also controlled by the code. Topics include: * Officer and board member responsibilities * The scope of committees * Differences between membership and non-membership nonprofit organizations * Voting rights Bring your bylaws and articles of incorporation; time permitting, the instructor will review them.
Instructor's Bio William M. Ramseyer is an attorney who specializes in nonprofit organizations. He represents a wide variety of nonprofit organizations in various aspects of their operations. He taught nonprofit law at UCLA for many years, and he has conducted numerous seminars and consulting projects for the Center. He advised the California Continuing Education of the Bar on bylaws for California nonprofit corporations and is one of the originators of the concept of legal audits.
